布伦泰格(Brenntag)日前签署协议：收购中柏兴业食品科技(北京)有限公司 (“中柏兴业”) 67%的股权。这家公司致力于分销不同种类的特种食品添加剂，广泛服务于乳制品和蛋白食品行业。

Brenntag (ISINDE000A1DAHH0), the global market leader in chemical and ingredientsdistribution, has signed an agreement to enter a 67/33 joint venture with ZhongbaiXingye Food Technology (Beijing) Co., Ltd (“Zhongbai Xingye”). The Chinese company is dedicated to the distribution of awide variety of specialty food ingredients,includingdairy products and proteins.

Thus, Zhongbai Xingye is perfectly in line withBrenntag’s ambitions and this Joint Venture with a major player is an importantstep for our company to become a full-line distributor of food ingredients inthe Asian market.”

100%收购中柏兴业的全部股权将分两步执行：第一步收购67%的多数股权，剩下的33%部分将在2024年底完成收购。

The 100% acquisition of the entire share capital of Zhongbai Xingye will be executed in two steps: The first tranche comprises a majority stake of 67%. The remaining 33% will be acquired by Brenntag by end of 2024.

Henri Nejade, Member of the Management Board of Brenntag Group and COO Brenntag Specialties, comments: “Headquartered in the capital of China, the company offers Brenntag the platform to extend our business of specialty food ingredients in the country.” He further mentions the strong historical track record of the business: “Zhongbai Xingye results show strong growth rates over the years.” The business will be settled within the global division of Brenntag Specialties.

在截至2020年6月的12个月期间，并购的中柏兴业实现了约1.46亿欧元的销售额。第一批并购的完成需要满足一定的合同条件和相关部门的批准，预计将于2021年上半年完成。第二并购预计将在2024年底完成。

The acquired business generated sales of approximately EUR 146 million over atwelve-months period up to June 2020. Closing of the first tranche is subjectto certain contractual conditions and regulatory approvals and is expected to becompleted in early 2021. Closing of the second tranche is expected at the endof 2024.
